01This agreement
These Terms of Service (“Terms”) are a legal agreement between you and Amrili Digital Services Limited (“Amril”, “we”, “us”), the operator of the Amril apps and the website at amril.app (together, the “Services”). Our Privacy Policy, Community Guidelines, Coins & Gifting Terms, and, for sellers, the Vendor Agreement are part of these Terms.
02Who can use Amril
You must be at least 18 years old and able to enter into a binding contract to use Amril. By using the Services you confirm that you meet these requirements and that the information you give us is true and current.
03Your account
- You are responsible for your account and for keeping your password, PIN, and device secure.
- You are responsible for activity that happens under your account. Tell us promptly at [email protected] if you suspect unauthorised use.
- Provide accurate information and keep it up to date. We may suspend or close accounts that contain false information or that are used to break these Terms or the law.
- One person, one account, unless we agree otherwise. Do not share, sell, or transfer your account.
04Acceptable use
You agree to use Amril lawfully and respectfully. In short, do not use Amril to break the law, harm others, defraud anyone, post prohibited content, or interfere with the Services. The full rules are in our Community Guidelines & Acceptable Use Policy, which you agree to follow. We may remove content and suspend accounts that break those rules.
05Buying on the marketplace
- Amril lets independent vendors list and sell goods. Unless stated otherwise, the vendor — not Amril — is the seller and is responsible for their items, descriptions, and fulfilment.
- Prices, availability, and delivery times are set by vendors and may change. Confirm details at checkout before you pay.
- To protect buyers and sellers, payment for an order may be held until the order is completed, and released to the vendor afterwards, on the timelines shown in the app.
- Cancellations and refunds: if a vendor does not accept an order in time, or an order cannot be fulfilled, it may be cancelled and the held amount returned to your wallet. Where an order is delivered as described, it is generally final. Disputes can be raised in the app and may be reviewed by us.
- Reviews: you may review an order you completed. Reviews must be honest and follow our Community Guidelines.
06Dine-in and QR ordering
Some vendors offer dine-in ordering: you scan a table QR code, browse the menu, and order from your table. Dine-in orders have no delivery fee and are prepared by the vendor at their branch. A table QR code links only to that vendor and table; an invalid or tampered code will not place an order. The vendor is responsible for preparing and serving your order.
07Selling on Amril
If you sell on Amril, additional rules apply, including verification, settlement, and conduct requirements. These are set out in the Vendor Agreement, which you accept when you start selling. You are responsible for your listings, your goods, fulfilling orders, and complying with the laws that apply to your business.
08Wallet and payments
- Amril provides a wallet and payment features operated through licensed payment partners. Amril is not a bank and does not pay interest on wallet balances.
- You authorise us and our partners to process the top-ups, payments, withdrawals, and transfers you request. Withdrawals and certain features require identity verification and are subject to limits shown in the app.
- Fees, where they apply, are shown before you confirm a transaction.
- You are responsible for the accuracy of payment details you enter. Completed payments may be difficult or impossible to reverse. If you believe a transaction is wrong or unauthorised, contact support promptly and we will investigate.
- We may decline, hold, or reverse transactions, and freeze balances, where required by law or our partners, or where we reasonably suspect fraud, error, or abuse.
09Coins and gifting
Coins are a digital feature used to send gifts and promote content. Coins you buy have no monetary value and are not redeemable for cash; they are licensed to you for use inside Amril. Gifting consumes coins. Where eligible users may convert certain coins to wallet value, that is subject to verification, country eligibility, and limits. Full details are in the Coins & Gifting Terms. Coins bought through Apple or Google are also subject to their terms.
10Airtime, data, and bill payments
Amril lets you buy airtime and data and pay bills such as electricity, cable, and exam pins through a third-party provider. You are responsible for entering the correct details (such as meter number, smartcard number, or phone number). Payments made to the wrong recipient because of incorrect details you entered may not be recoverable. If a payment fails after your wallet is debited, the amount is returned to your wallet, or the service is retried, as shown in the app.
11Your content
You keep ownership of the content you create on Amril. To run the Services, you grant Amril a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute your content as needed to operate, promote, and improve the Services and your use of them — for example, showing your post in other people’s feeds or on the web. This licence ends when you delete your content, except where it has been shared with others or where we must keep it by law.
You are responsible for your content and confirm you have the rights to share it and that it does not break the law or our Community Guidelines. We may remove content or limit its reach where it breaks these Terms.
12Our intellectual property
The Amril name, logo, app, website, and their design and software are owned by Amril and protected by law. We grant you a limited, personal, non-transferable licence to use the Services as intended. You may not copy, modify, reverse-engineer, or build a competing product from the Services, or use our brand without permission.
13Third-party services
The Services rely on third parties (such as payment partners, the app stores, and infrastructure providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.
14Suspension and termination
You can stop using Amril and delete your account at any time. We may suspend or close your account, or limit features, if you break these Terms or the law, if required by our partners or regulators, or to protect the Services or other users. Where we can, we will tell you why. Some obligations (such as completing pending transactions and complying with the law) continue after your account closes.
15Disclaimers
The Services are provided “as is” and “as available”. To the extent permitted by law, we do not give warranties that the Services will be uninterrupted, error-free, or fit for a particular purpose. Vendors, not Amril, are responsible for their goods and services. You use the Services at your own discretion and risk.
16Limitation of liability
To the maximum extent permitted by law, Amril will not be liable for indirect, incidental, special, or consequential losses, or for loss of profits, data, or goodwill, arising from your use of the Services. Nothing in these Terms excludes liability that cannot be excluded by law. Where our liability cannot be fully excluded, it is limited to the amount you paid us for the relevant transaction.
17Indemnity
You agree to cover Amril for reasonable losses and costs arising from your breach of these Terms, your misuse of the Services, or your infringement of someone else’s rights, to the extent the law allows.
18Changes
We may update the Services and these Terms from time to time. When we make material changes to the Terms, we will update the date above and, where appropriate, notify you in the app. If you keep using Amril after a change takes effect, you accept the updated Terms.
19Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. If you have a problem, please contact us first at [email protected] — most issues can be resolved quickly. If a dispute cannot be resolved informally, it will be subject to the courts of Nigeria, without affecting any rights you have under mandatory consumer law.
20Other terms
- These Terms (with the policies they reference) are the entire agreement between you and Amril about the Services.
- If any part of these Terms is found unenforceable, the rest still applies.
- Our not enforcing a right is not a waiver of it.
- You may not transfer your rights under these Terms; we may transfer ours as part of a business transfer, subject to your rights.
