01Who this applies to
This Vendor Agreement applies to any user who creates a store and lists items on Amril (a “Vendor”). By selling on Amril you accept this agreement in addition to our Terms of Service and Community Guidelines.
02Your relationship with Amril
You are an independent seller. Amril provides the platform that lets you list items, take orders, and receive settlement — but the sale is between you and the buyer. You are the seller of your goods and services, and Amril is not your employer, agent, or partner, and is not a party to your sale.
03Becoming a vendor
- Provide accurate business and contact information and keep it current.
- Complete the identity verification required for your level. Higher levels (for example, business verification) may require additional documents such as a CAC registration and admin review.
- You must have the legal right and any licences needed to sell your items.
04Your listings
- List only items you’re allowed to sell, and never prohibited or restricted items (see the Community Guidelines).
- Describe items accurately, with correct prices (including any taxes you must charge), photos, and availability.
- Keep your menu, stock, and branch details up to date.
05Orders and fulfilment
- Accept or decline orders promptly. Orders you don’t accept in time may be auto-cancelled and the buyer refunded.
- Prepare and fulfil accepted orders on the timelines you advertise, for delivery, pickup, or dine-in.
- Handle your customers fairly and resolve issues in good faith.
06Payments, holding, and settlement
- Buyer payments for your orders may be held and then settled to you after the order completes, on the timelines and limits that apply to your verification level.
- Withdrawing your settled balance requires identity verification and is subject to the limits shown in the app.
- Fees, where they apply, are shown to you. We may withhold, delay, or reverse settlement where there is fraud, a dispute, a chargeback, or a breach of this agreement.
07Trust levels
Vendors have a trust level that affects settlement speed, limits, and visibility. Levels are based on verification and your track record (such as completed orders and dispute rate). We may raise or lower your level, and we’ll reflect the current rules in the app.
08Conduct and compliance
- Comply with the laws that apply to your business, including consumer-protection and, for food vendors, food-safety rules.
- Don’t manipulate reviews, ratings, or order flows.
- Respond to disputes and reasonable requests from buyers and from Amril.
09Suspension and termination
You can stop selling at any time. We may suspend or remove your store, withhold settlement, or end this agreement if you breach it, harm buyers, or break the law. Obligations relating to pending orders, refunds, disputes, and the law continue after termination.
10Liability and indemnity
You are responsible for your goods, services, and listings. To the extent permitted by law, you agree to cover Amril for losses and claims arising from your sales, your products, or your breach of this agreement. Amril’s liability to you is limited as set out in the Terms of Service.
11Taxes
You are responsible for determining, collecting, and remitting any taxes that apply to your sales.
12Changes
We may update this agreement and the vendor rules, and will update the date above. Continuing to sell after a change means you accept it.
